B. Consulting Services

B.1 Engagement Process

Consulting engagements commence only upon written confirmation (including email) of an agreed scope of work. No engagement is created by submitting a contact form or by an initial consultation call unless a separate scope document is agreed upon.

B.2 Nature of Services

Nayeze Guguya provides informational and analytical consulting. Our deliverables describe observations, identify patterns, and suggest areas for consideration. They do not constitute legal, financial, accounting, or regulatory advice. Clients are responsible for their own decisions and should seek appropriate professional advice where regulated matters are involved.

B.3 Client Responsibilities

Clients are responsible for providing accurate and complete information relevant to the engagement. Nayeze Guguya cannot be held responsible for findings or recommendations that are affected by incomplete or inaccurate information provided by the Client.

B.4 Confidentiality

Nayeze Guguya treats all business information shared by Clients during an engagement as confidential. We will not disclose Client business information to third parties except where required by law or with the Client's prior written consent. Clients should not share information that is subject to legal privilege or third-party confidentiality obligations without those parties' consent.

B.5 Deliverables and Ownership

Upon full payment, Clients receive a non-exclusive license to use deliverables produced for them. Nayeze Guguya retains ownership of methodologies, frameworks, and general approaches used in the production of deliverables. Clients may not resell or distribute deliverables to third parties without written consent.

B.6 Payment

Payment terms are specified in the Engagement Agreement. Invoices are issued in accordance with Polish accounting requirements. Late payment may result in suspension of work in progress. All fees are stated exclusive of VAT unless otherwise specified.

C. Limitation of Liability

To the fullest extent permitted under applicable Polish law, Nayeze Guguya's liability for any claim arising from the use of this website or the provision of services is limited to the fees paid by the Client for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental losses.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, or any other liability that cannot be excluded under Polish law.

D. Governing Law and Disputes

These Terms are governed by the law of the Republic of Poland. Any disputes arising from these Terms or from the provision of services shall be subject to the exclusive jurisdiction of the courts of Poland. The parties will attempt to resolve disputes informally before resorting to formal proceedings.

Where the Client is a consumer (as defined under Polish consumer protection law, in particular the Act of 30 May 2014 on Consumer Rights), statutory consumer rights are not affected by these Terms.

E. Changes to These Terms

We may update these Terms from time to time. The current version is always available on this page. Continued use of the website after an update constitutes acceptance of the revised Terms. Material changes to the terms governing active engagements will be communicated to affected Clients directly.
